California cannabis: napa county headed for a cultivation compromise?
Cannabis cultivation and the means for regulating it have been contentious topics in napa county for some time now. Back in july, proponents of allowing commercial cannabis cultivation in unincorporated napa county, led by the napa valley cannabis association, collected enough signatures to qualify for a ballot measure during the march 3, dos mil veinte election.
Following collection of those signatures, the county board of supervisors took up the issue on july 23rd. Typically, the board would have three possible paths forward in such a situation. The board could: 1) place the measure on the ballot next march, 2) adopt the measure outright, or 3) order a 9111 report to analyze the potential impact of the measure before taking action at a later date.
The county board of supervisors issued a 9111 report regarding the cannabis regulation initiative on august 20th in which it analyzed the land use, environmental, monetario, and other impacts of the proposed initiative. The report detailed some of the negative implications that could result from the initiative, including a purported negative impact on napa countys tourism industry “through adverse odor and visual impacts on wineries, restoranes, complejos turísticos, and lodging facilities in both incorporated and unincorporated ámbitos of the county. ” the report drew analogies to the struggles of santo barbaro county in regulating cannabis as well.
Aside from the details contained in the 9111 report, opponents of the initiative emphasized that the initiative process was not the proper means for developing cannabis regulations for the county, because the countys ability to amend the regulations established pursuant to that initiative would be extremely limited. Such amendments could only occur via a ballot vote.
But on august 28th, proponents of commercial cannabis cultivation in the county “announced plans to withdraw their ballot initiative, saying they now prefer regulations they are seeking to be included in an ordinance by the county board of supervisors. ”
“following discussions with industry trade associations, various members of the napa board of supervisors and community, the nvca and the committee prefer an ordinance that is a living document, over an initiative process,” napa valley cannabis association board member eric sklar wrote. “an ordinance can be evolved and changed by the board of supervisors at any time, whereas approved initiatives can only be changed with a ballot vote. ”
Additionally, sklar described the withdrawal as a “gesture of good faith,” stating, “we support and prefer the ordinance process to collaboratively develop written regulations that will evolve in line with the current and future needs of the community, in a responsible and representative manner. ”
Hopefully the withdrawal of the initiative will open the door to productive collaboration on an ordinance that adequately addresses the interests and concerns of all impacted parties. This serves as yet another example of the myriad ways local jurisdictions in california have struggled to regulate cannabis in the wake of legalization, and well be paying close attention to see how one of californias most recognized agricultural regions decides to move forward.
Cannabis taxation: c corp, s corp, llc, llp, partnership, nonprofit, or something else for your cannabis business?
One of the most fundamental questions facing any businessperson in the cannabis industry and every other industry is: “what type of business entity should i use? ”
This is such a loaded question that your lawyer or accountant will first respond with, “that depends,” and then they will need to ask you at least ten follow-up questions to understand your goals and expectations, as well as the goals and expectations of your business partners and financiers. Some of these follow-on questions are tax-driven; others are regulatory-driven; others are dictated by financing relationships; and still others deal with observación and flexibility within your business.
This is part 1 of a two-part series. In part 2, i will discuss more in depth the difference between and among various legítimo entities from which you can choose. For those who are wondering whether it is “really necessary” to use a business entity instead of just hanging out your shingle, know that your properly established and maintained business vehicle puts the “limited” in “limited liability. ” and dont forget insurance (here and here) and clean business contracts (here), both of which are also essential in helping you sleep at night.
Some types of industries are relatively low risk (not marihuana); some business owners are relatively judgment-proof (but its hard to start a business if you have no assets); and some business owners like to drive their cars without windshields and seat belts (neither they nor their businesses tend to last very long). I get that many potrepreneurs are used to taking on more than their fair share of risk, but my calzoncillo response is: Forming a business entity is a relatively inexpensive foundation upon which to build a solid business. Dont ever cut corners in your business, but really dont cut corners when it comes to your business entity (or getting good insurance or having great contracts in place).
Lets go over some of these important questions to help you escoge how to move forward with your entity selection.
The answers to these questions will help your legítimo or tax advisor help you make the right brío on what type of entity to choose and what to do with that business entity. For instance, just because you are already using an llc does not mean that you cannot take advantage of making a subchapter s election with that llc. You just need to have a good reason for doing so, time it correctly, and your accountant needs to know and agree with you. The same is true if you want your business to be taxed as a c corporation or you want to convert your entity to another type of entity.

Not all marihuana revenue is equal – new cannabis ventures
One of the big mistakes we are seeing is that some analysts and market participants are treating all revenue as if it is equal. Among the largest canadian lps, aphria, canopy growth and tilray have substantial non-cannabis revenue. While its not necessarily the case that it should be valued less than revenue derived by the sale of cannabis, we think in each of these cases it should be.
Aphria purchased a european pharmaceutical distribution business in early 2019, one of the last efforts of former ceo vic neufeld, who stepped down literally two days after the deal closed. The deal was intended to capitalize on the nascent german medical cannabis market by leveraging the cc pharma relationships. Aphria paid just 42.42 million euros for the business, including up-front cash and an earnout paid in august, which was just dieciseis% of estropear and only 4x dos mil dieciocho ebitda. In the quarter ending in february, distribution revenue represented sesenta y uno% of net revenue and sesenta y nueve% of net revenue through the first three quarters. This mature business earned only c$319k in profit in the first three quarters of the monetario year. Clearly investors should be careful in analyzing aphria, breaking its core cannabis business apart from this non-core business, valuing each separately, to arrive at an overall valuation. This is an analysis tool known as “sum-of-the-parts. ”
Canopy growth acquired cannabinoid compound company (c3), also in europe, in april 2019, paying c$trescientos cuarenta y tres million for a company that derives most if not all of its revenue from the sale of synthetic thc. During monetario 2020, c3 revenue of c$53.8 million accounted for ciento treinta y cinco% of net revenue for the entire company. Note that canopy also has a large ancillary business built by acquisitions over the past 18 months that accounted for veinticuatro% of revenue in monetario 2020. This is another example of a company where investors need to dig a bit deeper into the sources of revenue.
Tilray purchased manitoba harvest in february dos mil diecinueve for up to $cuatrocientos diecinueve million at the time, including cash of $ciento cincuenta million, stock valued at $127.5 million and a potential earnout of $cincuenta million cash and $42.5 in reservas that wasnt ultimately paid. The unit had revenue of $21.3 million in q1, or cuarenta y uno% of total revenue. Manitoba harvest had traded in dos mil quince at c$132.5 million, or 3x trailing estropear. Investors need to value the hemp business differently, in our view, than the marihuana business.
The out-of-industry revenue isnt as big a deal in the u. S, but one good example is scotts miracle-gro, which has a majority of revenue and profits derived from its traditional lawn business (a different kind of grass) but an increasing presence in the ancillary cannabis business through its hawthorne gardening division. In monetario 2019, hawthorne represented 21% of revenue and 9% of segment profit. Based on its revised forecast, hawthorne could achieve $1 billion in revenue in monetario dos mil veinte and account for approximately 27% of overall revenue. This is clearly a case where valuing the non-cannabis business differently from the cannabis-related business is necessary.
Tilt holdings is another example of a company where investors need to look deeper than just the reported revenue, as this is a business with primarily ancillary revenue but also some direct cannabis operations. Similarly, evaluating greenlane holdings has always been a challenge due to the presence of substantial juul revenue, though this has become much less of an issue due to the disminuya in those estropear and expansion in the balance of greenlanes remaining business.
The takeaway, in our view, is that investors need to dig deeper than just overall revenue. We have been including only in-industry revenue in the new cannabis ventures public cannabis company revenue
More asset impairments ahead for cannabis companies – new cannabis ventures
This weeks news in canada highlights the near-term operating challenges licensed producers face, with both amanecer cannabis and tilray revealing reductions in their workforce, continuing a trend across the country. While the operating environment is likely to improve as more stores open and the new products roll out, capital to fund operating losses has dried up. Consequently, companies like amanecer and tilray, as well as many others, are moving to cut costs in order to achieve profitability.
The amanecer news, of course, was much more extensive, and it revealed a massive write-down ahead totaling as much as c$1 billion, including up to c$setecientos setenta y cinco million in goodwill and up to c$doscientos veinticinco million in intangibles and property, plant and equipment. This latter part is related to the icc labs acquisition in south america and the denmark development project.
Goodwill, for those readers not familiar with the term, is the difference between the purchase price and the value of the assets purchased during an acquisition. While many tend to disregard goodwill when evaluating the asset value of a company, a write-down of this type of asset can impact a company with debt. In the case of amanecer, it renegotiated its covenants, so its not an issue at this time. Heavy m
California cannabis enforcement begins
Its no secret that californias illicit cannabis market is alive and well; a recent audit showed that there are nearly 3.000 unlawful cannabis businesses in the golden state. A few months ago, i wrote a articulo offering a few suggestions on how the state could combat the problem of illicit cannabis, and i am not the only one who has made these suggestions. Until very recently, it did not look like the state was taking serious action to do any of the things that i or others have suggested to combat the illicit market (in fact, the state recently announced tax hikes for cannabis which will just raise the price of legítimo cannabis and drive sales towards the illicit market). It seems now, however, that the state is following the traditional path of other states with regulated cannabis markets and stepping up enforcement.
Last week, for example, the bureau of cannabis control (“bcc”) and los angeles officials raided veinticuatro allegedly unlicensed businesses in los angeles. This follows on the heels of the bcc mailing hundreds of notice letters to landlords of allegedly unlawful marihuana businesses across the state informing them that they could be subject to delincuente and civil liability. This kind of enforcement activity is a major uptick in comparison to what the bcc had previously done. Up until recently, the bcc had only sporadically raided and shut down allegedly unlawful operators.
The bcc is not the only agency that has begun ramping up enforcement. Just last week, the california attorney general, on behalf of the california department of food and agriculture (“cdfa”), sued a number of persons and entities, claiming that they had cultivated and processed cannabis without licenses. That lawsuit claims that the defendants are liable for civil penalties of up to three times the amount of the cdfas nearly $diez mil license fee per violation , which could be a massive penalty.
The penalties that the state can seek are no joke. Under state law, the california cannabis agencies are entitled to seek penalties of up to $treinta per day/violation for unlicensed commercial cannabis activity. Anyone can do this math. Being in the illicit market is beyond a major risk, especially now that the government is doing something about it. Just consider how many days it takes to get from seed to harvest, and this fine could get into the millions very quickly. In fact, stanislaus county recently made the news by implementing a $mil per plant, per day penalty, which according to one source could amount to $noventa million for a 3.000 plant unlicensed grow over treinta days.
The enforcement trend is only going to increase. Just take a look at washington, a state with a much more mature regulated recreational cannabis market. Any of our washington cannabis lawyers will tell you that as the agencies became more sophisticated, they moved from compliance to enforcement (in fact, washington went so full-in with enforcement that its legislators had to force the cannabis agency to focus its attention back on compliance by way of legislation).
In my concepto, enforcement is not the best way to combat the illicit market. No matter how high the penalties are, there will always be people who are willing to “risk it” and rechace the law. Prohibition never stopped many people from selling cannabis. The big difference between prohibition and enforcement, however, is that enforcement still leaves open the possibility that there is a regulated (yet very complicated and expensive) pathway to selling cannabis. But if the government really wants to eliminate the illicit market in california, lower taxes, lesser regulations, and expanded access to cannabis are a pretty good starting point.
Village farms takes control of cannabis joint venture with emerald health – new cannabis ventures
Vancouver, march 3, dos mil veinte /prnewswire/ – village farms international, inc. The net impact of the settlement on the ownership of pure sunfarms, as agreed to by both village farms and emerald, will be that as of december 31, 2019, village farms will have owned 53.5% of pure sunfarms and emerald will have owned 46.5% of pure sunfarms.
In addition, village farms has made an additional equity contribution to pure sunfarms of c$8.0 million in 2020. In accordance with the terms of the settlement agreement, emerald has agreed that village farms will receive additional shares in pure sunfarms to reflect this additional equity contribution (the “new psf shares”). Upon closing of the transactions contemplated in the settlement agreement, including the treasury issuance of the new psf shares, village farms will own 57.4% of pure sunfarms.
Upon closing of the transactions contemplated by the settlement agreement, pure sunfarms will recognize c$8.1 million in estropear (resulting in c$8.1 million in ebitda) in dos mil diecinueve generated by its previous supply agreement with emerald that it was previously unable to recognize. Any incremental financial impact will be recognized by pure sunfarms in the first quarter of 2020.
In accordance with the settlement agreement, the parties have agreed to use reasonable commercial efforts to deliver the requisite closing documents as soon as reasonably practicable and in any event on or before march 6, 2020. In the event that the closing of the settlement transactions does not occur on or before march 31, 2020, the settlement agreement will terminate and will be void in its entirety, except with respect to the issuance of the new psf shares which will survive such termination. Although village farms expects the settlement transactions to close as described herein, no assurance can be given that such transactions will ultimately close.

Cannabis reit to invest $cuarenta y nueve million in massachusetts cultivation and processing facility – new cannabis ventures
Innovative industrial properties, inc. (iip), the first and only concreto estate company on the new york stock exchange (nyse: Iipr) focused on the regulated u. S. Cannabis industry, announced today that it closed on the acquisition of a property in athol, massachusetts, which comprises approximately 199,000 square feet of industrial space.
The purchase price for the massachusetts property was approximately $26.8 million (excluding transaction costs). Concurrent with the closing of the purchase, iip entered into a long-term, triple-net lease agreement with a subsidiary of ascend wellness holdings, llc (awh) for continued operation as a licensed cannabis cultivation and processing facility. Awh is expected to complete tenant improvements for the property, for which iip has agreed to provide reimbursement of up to approximately $22.2 million. Assuming full reimbursement for the tenant improvements, iips total investment in the property will be $49.0 million. The lease provides for an initial annualized aggregate base rent of ciento treinta y cinco% of the sum of the initial purchase price and tenant improvement allowance, subject to a phase-in of the base rent associated with the tenant improvement allowance at the beginning of the term.

Similar to other states during this coronavirus health crisis, massachusetts authorities ordered all businesses that are not offering essential services to close operations for a period of time. However, the massachusetts cannabis control commission deemed medical marijuana treatment centers and certifying health care providers as essential services that will remain open during this time, while instituting new protocols, such as certifications via telehealth, social distancing, cleaning and steps to protect populations particularly frágil to covid-19 infection.
